Research Project

The research project titled Audit and remuneration committees: mechanisms for increasing supervisory board effectiveness is financed by the Ministry of Science. The Ministry awarded the Center with substantial funds to complete the project over the period 2008-2010 (award no N N115 039235).

The main research problem is: how can audit and remuneration committes increase effectiveness of board oversight in Polish corporations. The project resulted in a recommendation of an optimal model for creating audit an remuneration committees. The model is based on global best practice, but it is adapted to Polish corporate institutions. The results of the grant have been published in a monograph on board committees, published in 2011.

Project Team

The project is carried out under the leadership of prof. Dorota Dobija. The project team comprises: Iwona Cieslak, Izabela Koladkiewicz and Karol Marek Klimczak. During the project, we organized a conference, Report on Corporate Governance, which brought together academics, business people and regulators, with the goal of discussing current developments in corporate governance.

Project Description

The project has two goals. The first goal is to provide Polish corporate stakeholders with a critical analysis of various solutions in the board committees area. This analysis should facilitate effective implementation of audit and remuneration committees in Poland, as well as provide basis for further research.

The second goal is to identify the determinants of implementation in Polish corporations. This part of the project will involve only large corporations listed at the Warsaw Stock Exchange. In the first phase, a quantitative study looks at current practice and its extent. Then, a second qualitative phase focuses on detailed issues.
