Report on Corporate Governance

an international conference held in Warsaw on June 10-11 2010.

Summary of the conference

The conference has brought together a range of diverse approaches to corporate governance from Poland and other countries. Participants were able to witness how the perspectives of board members, auditors, investors, lawyers and researchers complement each other. The resulting new, richer picture of corporate governance is a benefit that conference participants all took home with them. Papers submitted to the conference are published in a special issue of Master of Business Administration. In the future, we are planning to publish a monograph which will represent the discussion during the conference.

The Concept

Kozminski Center for Corporate Governance is proud to announce the 2010 conference. In the spirit of other conferences organized by Komizminski University, the 2010 Report on Corporate Governance is designed to facilitate interactions between business people and academics. The aim of the conference is to discuss current issues in corporate governance, which have surfaced as a result of the 2007/2008 economic crisis.

Participants

The conference has drawn participants from Germany, UK, USA, and Poland. Among participants are representatives of the Polish Institute of Directors, major corporations and auditing firms, Polish government, international non-governmental bodies and, of course the academia. The resulting mix of experiences in various professional settings, regulatory regimes and different cultural backgrounds promises an interesting debate. During the first day of the conference all proceedings will be in English. The second day is devoted to Polish speaking participants. The organizers offer help to international participants in organizing their visit in Poland.

The International Day

Session I: Corporate Governance Regulations and Enforcement - International Experiences

Panelists discussed the international diversity of corporate governance regulation and practice.

Session II: Trust, Reputation and Integrity

Panelists discussed various aspects of trust between market participants and the role of reputation and integrity in forming that trust.

The Polish Day

Session III: Corporate Governance in Capital Groups

Legal experts discussed the nature of a corporation in the context of a capital group and upcoming regulation.

Session IV: Corporate Governance in Financial Markets

Panelists discussed their views and practices in maintaining relationships with market participants, participating in corporate governance and making investment decisions.

Session V: Supervisory Boards and Their Committees after the Crisis- panel of practicioners

Invited panelists exchanged views on the role of board committees, especially the remuneration, nomination and audit committees.
